CORPORATE COUNSEL-COMMERCIAL
Varian Medical Systems, a Fortune 1000 company, whose leading technology, products and software are being used in the fight against cancer, is seeking an experienced and self-motivated attorney with 8+ years of deep commercial transaction experience in hardware, software, support, services and SaaS to join its legal team. This position will provide legal support to Varian’s sales, support, service, marketing, distribution and business development teams from commercialization, launch to sales of new and existing products and will be based out of our offices in Palo Alto.
Roles and Responsibilities
- Independently lead, negotiate, document and close commercial transactions, including but not limited to, master sales, support, purchase, service, distribution, marketing agreements, SaaS, cloud, software and technology licenses and subscriptions
- Advise on the legal aspects of commercialization, marketing and sales of new and existing products, including hardware, software, SaaS, electronic medical information, analytics and cloud based platforms
- Counsel internal clients on the establishment of new channels and markets for the distribution of products
- Identify risks, draft provisions and advise internal clients on alternative ways to mitigate risk
- Articulate and draft alternative positions in regards to liability, indemnities, warranties, intellectual property, security and privacy issues (e.g., copyright, trade secret, trademark and patent) in the context of commercial transactions and agreements
- Communicate with executive sales, support and business development management and their operational teams
- Collaborate with cross functional teams including sales, support, service, distribution, business development, export compliance, regulatory, and finance as well as well as various business units
- Drive and project manage legal projects and conduct training to sales, support, contract negotiation and other teams
Experience/Qualifications
- Must be practical, results oriented, well-organized, detail-oriented, with a proven ability to independently negotiate, draft and close commercial agreements and handle multiple complex transactions simultaneously with little supervision.
- 8+ years of transactional legal experience with an emphasis on commercial sales, support, marketing and distribution agreements for hardware, support, software, distribution, marketing and SaaS, at both a law firm and in an in-house legal department
- Ability to identify, assess, and mitigate risk and determine priorities and gain consensus with internal stakeholders and executives
- Can do attitude who is willing to take on any matter or project whether large, small, complex, simple and/or novel, and be available and responsive to internal client needs
- Proven ability to think clearly and succinctly and cogently articulate a negotiating position as well as draft contracts in clear, concise language with counter-party attorneys
- Strong written and verbal communication skills with proven ability to work collaboratively with multiple stakeholders
- Effective organizational skills and the ability to manage multiple projects and complete them on time
- Experience and strong background with the Uniform Commercial Code (Section 2 and 9) and general familiarity with data protection, privacy, security issues, and HIPPA related to business associates and covered entities is desirable
- Comfortable driving projects, drafting new terms and conditions and processes as part of commercialization of new product introductions, and providing training to the contract negotiation team, sales and support teams
- Able to thrive in a fast-paced environment and successfully manage and work on multiple deadlines
- Be a team player who can perform assigned responsibilities with minimal supervision
- Experience working in a cross-department, cross-functional role requiring good communication skills who is able to build trust and consensus among internal clients and be a diplomatic advocate with Varian customers and distributors
- Prior experience working with a technology, health care, life science and/or medical device company a plus
- Juris Doctorate degree from a U.S. accredited law school
- Licensed to practice law in the State of California#LI-SRd
